Corporate Acts

By decision of the Ordinary General Assembly of the shareholders of the Company on the 26th of April 1999, the Company proceeded in an increase of its capital stock in the amount of 96.491.172, 41 euros (32.879.367.000 drachmae) (hereinafter "Increase"). The process began on 17/08/1999 and was completed successfully on 22/09/99.

The buying price of the new 32.879.367 common registered shares, with a nominal value 1,15 euro (391,92 Drs) each, issued in favour of the old shareholders, within the framework of the aforementioned increase, was set at 2,93 euros (1.000 Drs).

The new shares that emerged were credited to the Dematerialised Securities System (DSS) on 22/10/1999.

The capital stock of the Company, after the aforementioned increase, amounts to 42.177.163,17 euros (14.371.868.350 drachmae) and is now maintained in 36.532.630 common registered shares, with a nominal value of 1,15 euros (391,92 drachmae) each.

In order to define the price, international financial conjectures and the financial position of the company were quantified.

As of September 19, 2003, the 10,979,789 common registered (CR) shares of the Company EUROHOLDINGS CAPITAL & INVESTMENT CORP S.A. start trading on the ATHEX following the recent reduction of its share capital increase. On September 19, 2003, the total number of the Company's listed shares amounts to 10,959,789 common registered (CR) shares, of par value 1.00 EURO. The new ISIN Code is GRS043003011 and the start price is set at 3.00 EURO.

As of September 12, 2003, the trading of the 36,532,630 common registered (CR) shares of par value 1.16 Euro, of the Company EUROHOLDINGS CAPITAL & INVESTMENT CORP ceases and they are erased from the ATHEX Electronic Board of Transactions, in order to be replaced by 10,959,789 common registered (CR) shares of a par value 1.00 Euro. Restart date of trading of the new common registered (CR) shares is set on September 19, 2003 and the adjusted start price is set at 3.00 Euro

As of July 29, 2002, the shares of the Company ATHENIAN CAPITAL HOLDINGS S.A. are traded on the ASE: a) at a new par value of EURO 1.16 from EURO 1.1502, b) under a new Company Name EUROHOLDINGS CAPITAL & INVESTMENT CORP, c) with a new OASIS Code EUROS (from ATHSK).
